Terms of Service

PLEASE READ THESE TERMS CAREFULLY. By creating an account or using LinkGuard AI in any way, you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Andrii Andriievskyi, a sole trader (FOP) registered in Ukraine, operating the LinkGuard AI backlink monitoring platform at linkguard.ai ("we," "us," or "our").

BINDING AGREEMENT: By clicking "I agree," creating an account, or accessing the Service in any manner, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. Continued use after any modification constitutes acceptance of the updated Terms.

2. Definitions

  • "Service" — the LinkGuard AI platform at linkguard.ai, including all features, APIs, integrations, and documentation.
  • "Customer" — the individual or legal entity using the Service.
  • "Token" — a unit of prepaid credit that grants the right to consume a measurable unit of Service activity (for example, a single HTML check or SERP check).
  • "Token Package" — a one-time purchase of Tokens at a fixed price (for example, Lite, Standard, Pro, Agency, or Enterprise).
  • "Account Balance" — the total number of Tokens currently available in your account.
  • "User Data" — URLs, anchor texts, domain information, and any other data you submit for monitoring.
  • "Paddle" — Paddle.com Market Limited, our authorized Merchant of Record for payment processing.
  • "Intellectual Property" — all patents, copyrights, trademarks, trade secrets, and other proprietary rights.

3. Description of Service

LinkGuard AI is a B2B SaaS platform for automated backlink monitoring. Core capabilities include:

Note: Feature availability and Token consumption rates are published at the pricing section. We reserve the right to modify features and rates with reasonable notice.

4. Account Registration

4.1 Registration Methods

You may register using:

  • Email address and password
  • Google OAuth
  • Telegram OAuth

4.2 Account Requirements

You agree to provide accurate information, keep credentials confidential, and notify us immediately at support@linkguard.ai if you suspect unauthorized access. You are responsible for all activity under your account.

SECURITY: We will never ask for your password. Do not share your login credentials with anyone outside your authorized team.

5. Pricing and Tokens

5.1 Pay-as-You-Go Model

LinkGuard AI operates on a prepaid token model. There are no subscriptions, no recurring charges, and no billing cycles. You purchase Tokens in one-time top-ups and consume them as the Service performs checks on your behalf.

5.2 Available Token Packages

Current packages are published at the pricing section and include:

  • Lite — $25 one-time, 25,000 Tokens
  • Standard — $50 one-time, 55,000 Tokens (+10% bonus)
  • Pro — $100 one-time, 115,000 Tokens (+15% bonus)
  • Agency — $500 one-time, 625,000 Tokens (+25% bonus)

All prices are quoted in USD and exclusive of taxes. Where applicable, VAT, GST, or sales tax is calculated and added at checkout based on your billing country and remitted by Paddle as our Merchant of Record (see section 6). We may update package prices and Token bonuses with 30 days' notice; changes apply only to future purchases and do not affect Tokens already in your Account Balance.

5.3 Token Consumption

Tokens are deducted from your Account Balance when the Service performs metered actions on your behalf, such as:

  • HTML parsing of a donor page (one check = a fixed number of Tokens)
  • SERP indexation check (one check = a fixed number of Tokens)
  • Any other metered action the Service performs and publishes a rate for

Current Token consumption rates are published in the dashboard and at the pricing section. You are responsible for configuring monitoring settings that match your desired Token budget.

5.4 No Expiration

Tokens do not expire while your account is active and the Service is operational. Tokens are tied to your account and cannot be transferred, sold, or assigned to another account or user.

5.5 Free Tokens on Registration

New Customers may receive a one-time allocation of promotional Tokens to evaluate the Service. Promotional Tokens have no cash value, are non-refundable, and may expire or be revoked per the terms specified at the time of the promotion.

5.6 No Automatic Renewal

Because LinkGuard AI does not operate on subscriptions, there are no automatic renewals, no recurring charges, and no billing cycles. You are only charged when you actively initiate a new Token purchase.

6. Payment Processing — Paddle as Merchant of Record

6.1 Paddle as Merchant of Record

All payments for the Service are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record. This means:

  • Paddle is the seller of record for all transactions — your payment goes to Paddle, not directly to LinkGuard AI.
  • Paddle issues invoices and receipts.
  • Paddle collects and remits applicable VAT, GST, and sales taxes in jurisdictions where it is legally required to do so. Applicable taxes are shown at checkout.
  • Your purchase is also subject to Paddle's Terms of Service and Paddle's Privacy Policy.

6.2 Accepted Payment Methods

Paddle accepts major credit and debit cards (Visa, Mastercard, Amex), PayPal, and other methods as made available by Paddle in your region.

6.3 Failed Payments

If a payment fails, Paddle will attempt to retry. Access to paid features may be suspended after repeated failures. You will receive email notification of any payment issues.

6.4 Price Changes

We will notify you at least 30 days in advance via email before any price change takes effect. Continued use after the effective date constitutes acceptance of the new pricing.

7. Stopping Use of the Service

Because LinkGuard AI does not use subscriptions, there is nothing to cancel. You may stop using the Service at any time — simply stop making new Token purchases.

  • Any unused Tokens remain in your Account Balance for as long as your account is active.
  • You may request a refund on unused Tokens within 14 days of each specific purchase — see our Refund Policy.
  • You may request account deletion at any time by emailing support@linkguard.ai. Account deletion forfeits any remaining Token balance.
  • Your data is retained for 30 days after account deletion, then permanently removed per our Privacy Policy.

8. Refund Policy

Our full Refund Policy is available at /refund. In summary:

  • 14-day window: refunds are available within 14 calendar days from the date of each Token purchase.
  • Unused Tokens only: the refund amount is calculated proportionally to the unused Tokens from that purchase (Refund = Unused Tokens ÷ Total Tokens × Amount Paid). Already-consumed Tokens are non-refundable.
  • After 14 days: purchases are final and no refund is available.
  • Processing: refunds are processed by Paddle within 5–10 business days.
  • Requests: email billing@linkguard.ai or use the Paddle Customer Portal.

9. Acceptable Use Policy

9.1 Permitted Use

You may use the Service solely for legitimate backlink monitoring of websites and domains for which you have authorization — meaning your own sites or sites you manage on behalf of clients under a client agreement.

9.2 Prohibited Activities

You agree NOT to:

  • Monitor websites, backlinks, or domains that you do not own or have explicit authorization to monitor
  • Scrape, crawl, or extract data from the Service beyond your plan limits
  • Resell or sublicense access to the Service or Service data without prior written consent
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Abuse rate limits or submit excessive volumes of requests that disrupt service for other users
  • Use the Service to facilitate spam, manipulative link schemes, or practices that violate search engine webmaster guidelines
  • Submit malicious code or exploit attempts
  • Share account credentials with unauthorized parties

9.3 Consequences

Violations may result in immediate suspension or termination without refund, and may expose you to legal liability.

10. User Data and Content Ownership

10.1 Your Data Belongs to You

You retain full ownership of all User Data you submit. LinkGuard does not claim ownership of your URLs, anchor texts, or monitoring data.

10.2 License to LinkGuard

By using the Service, you grant LinkGuard a limited, non-exclusive, royalty-free license to process and store your User Data solely for the purpose of delivering the Service to you.

10.3 Aggregate Analytics

We may derive anonymized, aggregated statistics from usage patterns across the platform for product improvement. This data cannot be traced back to individual Customers.

11. Intellectual Property

The Service — including all software, algorithms, designs, visual elements, the LinkGuard name and logo, and documentation — is owned by or licensed to Andrii Andriievskyi / LinkGuard AI and protected under Ukrainian and international intellectual property law.

We grant you a limited, non-exclusive, non-transferable license to access the Service while your account remains active for your internal business purposes. You may not copy, modify, create derivative works of, or otherwise exploit any part of the Service or its underlying IP.

12. Third-Party Services

The Service integrates with third-party providers. Your use may involve data being processed by:

We are not responsible for the terms, availability, or data practices of third-party services.

13. Warranty Disclaimer

AS-IS SERVICE: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LINKGUARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL LINK CHANGES WILL BE DETECTED.

Link detection accuracy depends on third-party website behavior outside our control. Monitoring results are provided for informational purposes. Any business decisions based on Service data are made at your own risk.

14. Limitation of Liability

LIMITATION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINKGUARD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PADDLE FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the legal theory asserted, even if we were advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions — in those cases, our liability is limited to the maximum extent permitted by local law.

15. Service Level

LinkGuard AI operates on a best-effort basis. We do not offer a formal Service Level Agreement (SLA) at this time. We strive to maintain high uptime and will communicate planned maintenance windows in advance where reasonably possible. We are not liable for service interruptions outside our reasonable control.

16. Termination

16.1 Termination by You

You may terminate your account at any time by requesting account deletion at support@linkguard.ai. Any remaining Token balance is forfeited on account deletion; if you wish to claim a refund on eligible unused Tokens, do so before requesting deletion (see Refund Policy).

16.2 Termination by LinkGuard

We may suspend or terminate your account with or without notice if you materially breach these Terms, your use poses a security risk, or we are required to do so by law.

16.3 Effect of Termination

Upon termination, your license to use the Service ceases. Provisions relating to IP, limitation of liability, governing law, and dispute resolution survive termination.

17. Governing Law

These Terms are governed by the laws of Ukraine. Andrii Andriievskyi is a registered Ukrainian sole trader (FOP). No foreign entity or jurisdiction is implied or claimed.

18. Dispute Resolution

18.1 Amicable Resolution

Before initiating any formal proceeding, you agree to contact us at legal@linkguard.ai and allow 30 days for informal resolution.

18.2 Ukrainian Courts

If informal resolution fails, disputes shall be submitted to the competent courts of Ukraine in accordance with Ukrainian procedural law.

19. Changes to These Terms

We may update these Terms periodically. For material changes, we will notify registered users by email at least 30 days before the effective date. Your continued use after that date constitutes acceptance. If you do not agree, you may stop using the Service and request account deletion before the effective date.
